1. This registration form is to offer your company
a one-month free-of-charge trial on ACT! on the Web.
2. All data put on the trial ACT! on the Web database will be
absolutely secured. Adaptive Consultants Ltd (ADC) takes the
strict responsibility NOT to disclosure any customer information.
3. If your company is not interested in subscription the monthly
ACT! on the Web services after the trial period, all data put
on the trial database will be deleted permanently.
4. It is agreed that all proprietary information of your company,
all customer lists and records and other customer information,
and all information furnished to ADC in connection with its
performance of the obligations under this agreement (collectively,
the "Confidential Information") is proprietary to
the your company and shall be held in strictest confidence by
ADC. ADC may not disclose any Confidential Information except
as is expressly permitted or contemplated by the Agreement.
5. ADC shall use, the same degree of care to preserve the confidentiality
of the Confidential Information as your company uses in preserving
the confidentiality of its own proprietary or confidential information.
ADC agrees, except to the extent required by law or any regulatory
authority having jurisdiction, not to disclose, communicate,
provide or otherwise make available the Confidential Information
to any person, firm or corporation without the prior written
consent of your company and ADC shall take such security and
other precautions to prevent unauthorized use by, and inadvertent
disclosure of the Confidential Information to any third party.
ADC agree to inform your company immediately if it gains knowledge
or suspects that any unauthorized attempt has been made to gain
access to the Confidential Information.
6. All originals and copies of the Confidential Information
will be and remain the sole property of your company and ADC
will surrender such originals and copies to the your company
immediately upon your company's written request. ADC shall not
use the Confidential Information on its own behalf, particularly
for its own commercial gain, or circulate it within its own
organization except to the extent necessary for (a) negotiations,
discussions and consultations with authorized representatives
of your company; (b) performance of this agreement with your
company, and (c) for any other purpose your company may authorize
in writing.
7. In the event of breach of this Article, ADC will be liable
to your company according to provisions of the Agreement.
8. It is agreed that the above provisions shall survive termination
or expiration of this Agreement until such time as the parties
may mutually agree in writing to the release of the obligations
contained therein.
9. ADC acknowledge upon signing of this agreement that ADC
have read and understand the foregoing Agreement and that
ADC will be legally liable for any failure to comply.
